What it is

Director Resignation, explained in plain English.

A director's exit happens by resignation (initiated by the director, governed by Section 168) or removal (initiated by shareholders via special notice, governed by Section 169). Both routes require DIR-12 from the company within 30 days. A resigning director additionally files DIR-11 to evidence the resignation with the MCA - critical for liability protection.

TL;DR

Resign by letter, file DIR-11 yourself, ensure the company files DIR-12. Removal requires shareholder special notice + opportunity for the director to be heard.
