BOI reporting: US-formed companies no longer file
If your LLC or C-Corp is formed in a US state, you do not file a beneficial ownership information (BOI) report with FinCEN. FinCEN's interim final rule of March 2025 exempted all entities created in the United States, and their beneficial owners, from BOI reporting. A final rule issued on 11 August 2026, effective 14 August 2026, made the exemption permanent.
BOI reporting now applies only to companies formed outside the US that register to do business in a US state, unless they qualify for an exemption. If you are registering an existing Indian company to do business in a US state, ask us to check this before you file.
The BOI change does not remove your other US filings. State annual taxes and reports, and IRS returns, still apply.

Owning a US company from India: what to report
Owning a US company creates filings in both countries. We coordinate the India side with your AD bank and plan the US side from the first year.
- Overseas direct investment. If you are resident in India and invest in the equity of a US company, it is an overseas direct investment under the Foreign Exchange Management (Overseas Investment) Rules, 2022. It is reported to the RBI in Form FC through your AD bank.
- Conditions for individuals. A resident individual can make an overseas direct investment only in an operating business, not one engaged in financial services. The investment counts toward the Liberalised Remittance Scheme limit of US$250,000 per financial year (April to March).
- Annual Performance Report. An Annual Performance Report is filed for the foreign entity each year. Where the entity has no statutory audit, including investments by resident individuals, it is certified by a chartered accountant.
- Form 5472. A foreign-owned US company generally files IRS Form 5472 with its federal return to report transactions with its foreign owner. The penalty for not filing it on time is US$25,000 per form, with more if the failure continues after an IRS notice.
Talk to your AD bank before you send the money, because the investment is reported through the bank, and late reporting under the overseas investment rules attracts a late submission fee. No. FinCEN's interim final rule of March 2025 exempted all entities created in the United States, and their beneficial owners, from beneficial ownership information reporting. A final rule issued on 11 August 2026, effective 14 August 2026, confirmed this. Only foreign companies registered to do business in a US state may still have to report, unless an exemption applies.
How much does it cost to set up a US company from India?
Regikart's professional fee is from ₹49,999 for a US LLC and from ₹49,999 for a Delaware C-Corp, plus GST at 18%. US state filing fees are extra and paid at actuals: US$110 for a Delaware LLC, from US$109 for a Delaware corporation, and US$100 for a Wyoming LLC. The EIN from the IRS is free.
Do I need an SSN or ITIN to get an EIN for my US company?
No. A foreign owner who does not have and cannot get an SSN or ITIN writes "Foreign" or N/A on line 7b of Form SS-4. The IRS online application is not available without a US principal place of business, so international applicants apply by phone, fax or mail. The IRS says to allow about four weeks for mail applications.
Can a resident Indian own a US LLC or C-Corp?

LLC or C-Corp: which should an Indian founder choose?
Choose an LLC if you are bootstrapped, run a services, SaaS or e-commerce business and do not plan to raise equity from US investors soon. Choose a Delaware C-Corp if you plan to raise venture capital, issue stock options or may need a holding structure investors expect. Tax on both sides differs, so we compare them for your case before filing.
What is Form 5472 and does my US company need to file it?
Form 5472 is an IRS information return that a foreign-owned US company generally files with its federal return to report transactions with its foreign owner and related parties. The IRS penalty for not filing it on time is US$25,000 per form, with further penalties if the failure continues after an IRS notice. Plan for it from the first year.
What annual fees does a Wyoming LLC pay?
A Wyoming LLC pays an annual report licence tax of US$60 minimum, or two-tenths of a mill on the dollar of assets located and employed in Wyoming, whichever is greater. This is on top of your registered agent charges and any US tax filings. The one-time filing fee to form the LLC is US$100.

The EIN for a foreign owner is applied for by phone, fax or mail with the IRS, and bank applications with online providers are made remotely.
