Step-by-step registration process.
Companies incorporate through the SPICe+ form; an LLP follows a parallel route (RUN-LLP, FiLLiP, and the LLP Agreement in Form 3 within 30 days).
Digital Signature Certificate (DSC)
Each proposed director obtains a Class-3 DSC to sign forms electronically.
Name reservation (SPICe+ Part A)
Reserve a unique name that does not clash with an existing company or trademark.
Draft MOA & AOA
The Memorandum and Articles of Association set the company's objects and governance (eMOA/eAOA).
File SPICe+ Part B with AGILE-PRO-S
One form covers incorporation, DIN, PAN, TAN, EPFO, ESIC, Professional Tax and bank account; GST optional.
Receive the Certificate of Incorporation
The ROC issues the COI with PAN and TAN; then file INC-20A to commence business.
What you'll need.
From every director / shareholder / partner
- PAN card, Aadhaar and one photo ID (passport / driving licence / voter ID)
- Address proof not older than two months (bank statement or utility bill)
- Passport-size photograph (foreign nationals: notarised and apostilled passport)
For the registered office
- Latest utility bill (≤ 2 months)
- Owner's No-Objection Certificate (NOC)
- Rent / lease agreement, if the premises are rented
Company registration fees in India.
Total cost has three parts: statutory government charges, the DSC/DIN cost, and a professional fee. Because stamp duty is levied by each state, the total varies by where you incorporate.

Government filing fees are nil for authorised capital up to ₹15 lakh; a DSC costs roughly ₹1,500-₹2,500 per person. Stamp duty on the MOA/AOA is a state subject and is auto-computed on the MCA portal. All fees are indicative only and do not constitute a binding offer.
Common mistakes to avoid.
Wrong business-activity (NIC) code
A mismatch between your stated objects and actual business can block loans and licences.
Setting authorised capital carelessly
It drives stamp duty; too high means overpaying, too low means an SH-7 filing later.
A name that fails MCA's uniqueness check
Generic or trademark-clashing names get rejected, delaying incorporation.
Ignoring post-incorporation deadlines
INC-20A within 180 days and appointing an auditor within 30 days are commonly missed.
