Company registration in Chennai
Registered under ROC Chennai, one of Tamil Nadu's two Registrar offices
Tamil Nadu has two Registrar of Companies offices, Chennai and Coimbatore, and your registered office decides which one handles you. A Chennai address files with ROC Chennai, and neither office was changed by the 2026 reorganisation. For the national picture, see company registration in India.

What a Pvt Ltd costs in Chennai.
Our professional fee for a private limited company starts at ₹1,499. Government fees are separate and paid at actuals. Tamil Nadu state stamp duty is quoted before filing, so we do not publish an all-in total.
| Regikart professional fee (private limited company) | From ₹1,499 |
| Name reservation in SPICe+ Part A, up to two names (name held 20 days) | ₹1,000 |
| Incorporation fee, authorised capital up to ₹15 lakh | Nil |
| Company PAN | ₹66 |
| Company TAN | ₹65 |
| DIN for up to three directors, through SPICe+ | No separate fee |
| Tamil Nadu state stamp duty on the MoA and AoA | Quoted before filing |
| Class 3 Digital Signature Certificates for the directors | At the Certifying Authority's current price, which we confirm before we start |
Professional fees exclude GST at 18%. Government fees, where they apply, are paid at actuals to the department and are shown separately. Fees verified on 25 September 2026.
Which Registrar of Companies handles a Chennai incorporation
ROC Chennai handles it. The point worth knowing is that Tamil Nadu has two Registrar offices, and Chennai is only one of them.
ROC Coimbatore is a separate office, not a branch of Chennai. A company with a Coimbatore-district registered office files there. Most pages that talk about "the ROC in Tamil Nadu" assume there is one, and that is wrong. We check which office your address belongs to before we reserve a name, and we do not publish a district-by-district split, because the notification rows setting the boundary were not obtainable and guessing a boundary is worse than checking one.
Neither office changed in 2026. The Ministry of Corporate Affairs re-notified ten Registrar of Companies offices by notification S.O. 4850(E) dated 23 October 2025, with effect from 16 February 2026 (the original 1 January 2026 start was deferred). Neither ROC Chennai nor ROC Coimbatore is on that list, so Tamil Nadu companies did not have to change where they file.
The Regional Director for a Chennai company is the Regional Director (Southern Region) at Chennai. One change there does matter: Kerala and Lakshadweep moved to the new Regional Director (SWR) at Bangalore on 16 February 2026, so the Chennai Regional Director no longer covers Kerala work.
What Tamil Nadu adds, and the profession tax nobody gets right
Stamp duty. Tamil Nadu stamp duty on the Memorandum and Articles is a state charge on your authorised capital, and we quote it before we file. We publish no figure: the only schedule we could find is an undated compilation uploaded in 2011, and a number a client pays against needs better than that.
Profession tax is a local-body levy, not a state slab, and it runs half-yearly. This is the single most-missed fact about running a company in Chennai, and getting it wrong will cost you two deadlines a year.
In Tamil Nadu, profession tax is levied and collected by municipalities and corporations. For Chennai, that authority is the Greater Chennai Corporation, which publishes a profession tax calculator on its own site. The levy runs for two half-years, 1 April to 30 September and 1 October to 31 March. Employees' tax must be remitted before 15 September and before 15 February. Others pay before 30 September and before 31 March. Late payment attracts one rupee per month, or part of a month, for every ₹100 or part thereof of unpaid tax.
The rate itself is set locally: the rate of tax payable is received and published by the executive authority once every five years. So there is no state slab table to look up and, crucially, there is no PTEC and no PTRC in Tamil Nadu. Those are Maharashtra's certificates. If an adviser asks your Chennai company for a PTRC number, they are working from the wrong state's playbook. We confirm your current rate from the Greater Chennai Corporation's published rate rather than quote a figure here.
Shops and establishments. A Chennai establishment registers under the Tamil Nadu Shops and Establishments Act, 1947, with the Labour Department at labour.tn.gov.in. It is a registration rather than an intimation. We do not publish the fee or a form number: neither is verified to a standard worth putting in front of you.
Trade licence. The municipal body is the Greater Chennai Corporation, which is the correct current name, not "Chennai Corporation" or "Chennai Municipal Corporation". It runs an online trade licence system at erp.chennaicorporation.gov.in with new-application and renewal flows. We do not publish the licensable-trade list, the fee or the renewal cycle, none of which is verified.
The four labour codes came into force on 21 November 2025, and a factory in Tamil Nadu is now regulated under the Occupational Safety, Health and Working Conditions Code, 2020 rather than the Factories Act. For an auto-ancillary or engineering unit around Chennai, that is the code your plant now answers to.
What a new Chennai company usually needs alongside incorporation
A GSTIN, in most cases early. The thresholds are ₹40 lakh for goods and ₹20 lakh for services, Tamil Nadu is not a special category state so there is no lower figure, and the thresholds stop mattering the moment you supply goods out of state. See GST registration in Chennai.
Alongside that: the Greater Chennai Corporation profession tax enrolment, registration under the 1947 Shops Act, a Udyam registration if you want MSME standing, and a Greater Chennai Corporation trade licence if your activity is a licensable trade. For a manufacturer, an IEC usually follows quickly.
How Regikart serves Chennai
We do not have an office in Chennai. Regikart's offices are Kolkata (head office), Delhi and Bengaluru, and Chennai work is done remotely from one of them. Scans come by WhatsApp or email on +91 70444 94804 or [email protected], Digital Signature Certificate video KYC happens on your phone, and SPICe+ is filed on the MCA portal, which the Central Registration Centre processes online. Our Bengaluru office is in Karnataka: it is the nearest of the three, but it gives you no Tamil Nadu presence, and Karnataka's profession tax, shops law and Regional Director are all different.
Everything you need to incorporate in Chennai.
ROC Chennai or ROC Coimbatore.
We file for registered offices across Tamil Nadu, and we check which of the state's two Registrar offices yours belongs to before we reserve a name. A Chennai address goes to ROC Chennai; a Coimbatore-district address goes to ROC Coimbatore, which is a separate office and not a branch of Chennai.
The exact district split between the two offices is confirmed against your address before we file.
From application to Certificate in Chennai, 8 steps.
Apply for Digital Signature Certificate (DSC)
Class 3 DSC issued by a Certifying Authority after video KYC. Time: 1-2 working days.
Reserve company name (SPICe+ Part A)
Up to 2 names per application. Typically approved in 2-4 working days.
Draft MOA and AOA
The Memorandum defines your business objects; the Articles set internal governance rules.
File SPICe+ Part B with AGILE-PRO-S
Integrated form covering incorporation, DIN, PAN, TAN, EPFO, ESIC, bank account opening and optional GSTIN.
Central Registration Centre approval & Certificate of Incorporation
COI issued with CIN, PAN and TAN, usually 3-7 working days after submission.
PAN, TAN & bank account
PAN and TAN are auto-allotted. Open your current account using the COI, MOA and AOA.
First board meeting & ADT-1
Hold within 30 days of COI and appoint your statutory auditor via ADT-1.
File INC-20A within 180 days
Declaration of Commencement of Business. Until it is filed the company cannot start business or borrow. Penalty: ₹50,000 on the company and ₹1,000 a day on each officer in default, up to ₹1,00,000.
What we'll need from you.
We pre-check every scan before filing, because a name mismatch or an address proof older than two months is the usual cause of a resubmission.
From every director & subscriber
- Self-attested PAN card (mandatory)
- Aadhaar card (mobile linked)
- Identity proof - Passport, Voter ID or Driving Licence
- Address proof - bank statement / utility bill (≤ 2 months)
- Recent passport-size photograph
- Email ID & mobile number (for DSC OTP)
For the registered office
- Latest utility bill (electricity / gas / phone, ≤ 2 months)
- NOC from the property owner
- Rent agreement (if rented) or sale deed (if owned)
A residential address in Chennai is acceptable as a registered office with a no-objection certificate from the owner. It also fixes two things beyond the MCA filing: ROC Chennai rather than ROC Coimbatore, and the Greater Chennai Corporation as the local body for your profession tax and any trade licence.
What you'll owe after registration.
Your Year 1 compliance calendar is included, and we file each form on time.
