Company registration in Bangalore
Registered under ROC Bangalore, with the Regional Director now in the city too.
Two things changed for Bengaluru companies in 2026 and neither is on most providers' pages. Bengaluru now has its own Regional Director, and Karnataka's shops and establishments law was amended in September 2026 so that registration no longer needs renewing. Karnataka stamp duty is calculated by the MCA portal from your registered office state and authorised capital. We confirm the exact figure before filing rather than publish a rate, because the commonly quoted Karnataka rates conflict.

Which office actually registers your Bengaluru company
ROC Bangalore, and that part did not change. When the Ministry of Corporate Affairs re-notified ten Registrar of Companies offices with district-level jurisdictions by Notification S.O. 4850(E) of 23 October 2025, with effect from 16 February 2026, ROC Bangalore was not one of them. Its jurisdiction over Karnataka is unchanged.
What did change is the Regional Director. Bengaluru now has its own: RD (South Western Region) at Bangalore, covering Karnataka, Kerala and Lakshadweep, operational from 16 February 2026. Before that, Regional Director work for Karnataka went out of state.
This matters for anything that needs Regional Director approval rather than a plain ROC filing. A registered office moving from one ROC's jurisdiction to another, or from one state to another, needs a special resolution and the Regional Director's confirmation on INC-23 before INC-28 and INC-22. If you are shifting a registered office into or out of Karnataka, or applying to the Regional Director for anything else, that application is now heard by an office in this city.
What Karnataka costs you
Stamp duty: we quote it, we do not publish it. Karnataka sets its own MoA and AoA stamp duty, and the rates you will find quoted online for the e-AoA disagree with each other by a factor of ten. No official Karnataka schedule settles it. So we take the figure the MCA portal calculates for your registered office state and authorised capital, and put that in your quote before you pay anything. A provider publishing a confident Karnataka rate is picking one of two irreconcilable sources and hoping.
Professional tax applies, but less than you expect. Karnataka levies it under the Karnataka Tax on Professions, Trades, Callings and Employments Act, 1976, administered by the Commercial Taxes Department at ctax.karnataka.gov.in, with enrolment and registration handled alongside e-Karmika at ekarmika.karnataka.gov.in. There is no government fee for registration or enrolment; the only amount payable is the tax. The company's own enrolment is ₹2,500 a year per place of business, raised from ₹2,400 with effect from 1 April 2025. On salaries, nothing is payable up to ₹25,000 a month; above that it is ₹200 a month for eleven months and ₹300 for February, which comes to ₹2,500 a year. That ₹25,000 exemption is high by Indian standards, so a good part of a junior Bengaluru payroll falls outside professional tax entirely. Nothing can exceed ₹2,500 per person per year, the ceiling in Article 276(2) of the Constitution.
Shop and Establishment registration changed in September 2026, in your favour. The Karnataka Shops and Commercial Establishments (Amendment) Act, 2026 was assented on 3 September 2026, gazetted on 4 September 2026 and is in force. Three things follow. Registration under the Karnataka Shops and Commercial Establishments Act, 1961 is now valid until closure, with no renewal. An establishment with ten or more workers that is already registered under the Occupational Safety, Health and Working Conditions Code, 2020 is outside the Act altogether, so it may need no Karnataka shops registration at all. And a godown within 100 metres of the registered premises needs no separate registration. Filing is on e-Karmika. Most competitor pages still describe an annual renewal that no longer exists.
Trade licensing depends on which corporation your premises sits in. Bengaluru is administered by the Greater Bengaluru Authority through five city corporations: Bengaluru Central, Bengaluru North, Bengaluru South, Bengaluru East and Bengaluru West. The single city-wide corporation that used to license trades here no longer exists. Licensable trades are those in Schedule X of the Karnataka Municipal Corporations Act, 1976, the fee is set by the corporation by trade category, and the validity period, one to five years, is chosen at application. Which of the five corporations covers your address is something we confirm rather than guess.
What a Bengaluru company usually needs next
Most of our Bengaluru incorporations take GST registration in the same month, because the ₹40 lakh goods and ₹20 lakh services thresholds do not matter if you supply goods inter-state. Udyam registration is free on the government portal. If you are hiring, the four labour codes came into force on 21 November 2025, and factories now sit under the Occupational Safety, Health and Working Conditions Code, 2020 rather than the Factories Act, which is also what triggers the Karnataka shops exclusion above.

Everything you need to incorporate in Bengaluru.
ROC, Regional Director and city corporation.
ROC Bangalore covers Karnataka and its jurisdiction did not change in the 2026 reorganisation, so every Bengaluru registered office files with the same ROC. What did change is the Regional Director: RD (South Western Region) now sits in Bengaluru and covers Karnataka, Kerala and Lakshadweep. Municipal licensing is the part that now depends on your premises, because Bengaluru is administered by the Greater Bengaluru Authority through five city corporations.
