Company registration in Hyderabad
Registered under ROC Hyderabad, under Telangana's own professional tax and shops law
A Hyderabad company files with ROC Hyderabad, which the 2026 reorganisation of Registrar offices did not change. What did change in 2026 is the city's municipal map: the Greater Hyderabad Municipal Corporation was split into three corporations in February. For the national picture, see company registration in India.

Which Registrar of Companies handles a Hyderabad incorporation
ROC Hyderabad handles it, and unlike much of the country that has not changed.
The Ministry of Corporate Affairs re-notified ten Registrar of Companies offices by notification S.O. 4850(E) dated 23 October 2025, with effect from 16 February 2026 (the original 1 January 2026 start was deferred). ROC Hyderabad is not on that list. Its jurisdiction is unchanged, and so is the Regional Director: a Hyderabad company's Regional Director applications go to the Regional Director (South East Region) at Hyderabad.
That stability is worth knowing, because a lot of 2026 commentary about "new ROC offices" does not apply to you. Telangana companies did not have to change where they file, unlike Haryana companies, who moved out of ROC Delhi, or western Uttar Pradesh companies, who moved out of ROC Kanpur.
One thing did move, and it is a common source of confusion. Karnataka, Kerala and Lakshadweep went to the new Regional Director (SWR) at Bangalore on 16 February 2026. If you have been told, or have read on an older page, that the Hyderabad Regional Director covers Karnataka work, that is out of date.
What Telangana adds, and what we will not put a number on
Stamp duty. Telangana stamp duty on the Memorandum and Articles is a state charge on your authorised capital and we quote it before we file. We publish no figure. The only state-wise compilation we could find predates the 2014 bifurcation and lists Andhra Pradesh, not Telangana, so every page quoting you a precise Telangana rate is quoting an Andhra Pradesh number from before the state existed. That is not a number to pay against.
Professional tax. Telangana levies professional tax under the Telangana Tax on Professions, Trades, Callings and Employments Act, 1987, administered by the Commercial Taxes Department. New registrations, payments and returns run on the department's own module at ptax.tgct.gov.in, reached from the Profession Tax tab on the department portal.
Two registrations exist: registration as an employer, if you deduct professional tax from salaries, and enrolment for the business or professional in its own right. Telangana's own pages use those words. If an adviser sends you a Telangana form labelled PTEC or PTRC, they have brought Maharashtra's vocabulary with them.
We do not publish Telangana slab figures. The Act, the department and the module are all official, but the Schedule itself was not retrievable, and professional tax is capped in any case at ₹2,500 per person per year by Article 276(2) of the Constitution. We confirm your actual liability from the current Schedule when we register you.
Shops and establishments. Telangana's law is the Telangana Shops and Establishments Act, 1988 (Act No. 20 of 1988), with the Telangana Shops and Establishments Rules, 1990, administered by the Labour Department at labour.telangana.gov.in. This is a registration, not an intimation: unlike Maharashtra, a small Telangana establishment does register rather than simply notify.
The municipal layer changed in February 2026, and this is the fact most pages have missed. Telangana reorganised the Greater Hyderabad Municipal Corporation into three municipal corporations: GHMC with 150 wards, Cyberabad Municipal Corporation with 76 wards and Malkajgiri Municipal Corporation with 74 wards, taking effect in February 2026 when the GHMC council's term expired.
Note what this is and is not. GHMC was not abolished: it survives with a smaller jurisdiction, so naming GHMC is not wrong. But it no longer covers the whole city. A Gachibowli or Madhapur premises may now fall under Cyberabad rather than GHMC, so which corporation issues your trade licence depends on your address. We do not publish a ward-to-corporation map, because the mapping has not been verified, and neither should anyone else. We confirm it against your address.
The four labour codes came into force on 21 November 2025, and a factory in Telangana is now regulated under the Occupational Safety, Health and Working Conditions Code, 2020 rather than the Factories Act.
What a new Hyderabad company usually needs alongside incorporation
Most take a GSTIN early. Telangana did not adopt the higher ₹40 lakh limit for goods (it is one of the States excluded in Notification 10/2019-Central Tax), so the threshold is ₹20 lakh for goods and services alike, and it stops mattering the moment you supply goods out of state. See GST registration in Hyderabad.
Alongside that: the Telangana professional tax registration and enrolment described above, registration under the 1988 Shops Act, a Udyam registration if you want MSME standing, trademark registration in Hyderabad if you trade under a brand, and TS-iPASS at ipass.telangana.gov.in, which is Telangana's single-window industrial approval system, where an approval your activity needs is likely to be routed.
How Regikart serves Hyderabad
We do not have an office in Hyderabad. Regikart's offices are Kolkata (head office), Delhi and Bengaluru, and Hyderabad work is done remotely from one of them. Scans come by WhatsApp or email on +91 70444 94804 or [email protected], Digital Signature Certificate video KYC happens on your phone, and SPICe+ is filed on the MCA portal. The Central Registration Centre processes SPICe+ online, so there is nothing to hand in anywhere. Note that our Bengaluru office is in Karnataka, a different state: it does not give you a Telangana presence, and Karnataka's professional tax, shops law and Regional Director are all different from Telangana's.
Everything you need to incorporate in Hyderabad.
Three city corporations since February 2026.
We file for registered offices anywhere ROC Hyderabad has jurisdiction. Where your premises sits matters for the municipal layer rather than the MCA one: since February 2026 the city is covered by three corporations, GHMC, Cyberabad and Malkajgiri, and which one applies to your address is confirmed case by case.
We confirm which corporation covers your address; the ward mapping is not something to assume.
From application to Certificate in Hyderabad, 8 steps.
Apply for Digital Signature Certificate (DSC)
Class 3 DSC issued by a Certifying Authority after video KYC. Time: 1-2 working days.
Reserve company name (SPICe+ Part A)
Up to 2 names per application. Typically approved in 2-4 working days.
Draft MOA and AOA
The Memorandum defines your business objects; the Articles set internal governance rules.
File SPICe+ Part B with AGILE-PRO-S
Integrated form covering incorporation, DIN, PAN, TAN, EPFO, ESIC, bank account opening and optional GSTIN.
Central Registration Centre approval & Certificate of Incorporation
COI issued with CIN, PAN and TAN, usually 3-7 working days after submission.
PAN, TAN & bank account
PAN and TAN are auto-allotted. Open your current account using the COI, MOA and AOA.
First board meeting & ADT-1
Hold within 30 days of COI and appoint your statutory auditor via ADT-1.
File INC-20A within 180 days
Declaration of Commencement of Business. Until it is filed the company cannot start business or borrow. Penalty: ₹50,000 on the company and ₹1,000 a day on each officer in default, up to ₹1,00,000.
What we'll need from you.
We pre-check every scan before filing, because a name mismatch or an address proof older than two months is the usual cause of a resubmission.
From every director & subscriber
- Self-attested PAN card (mandatory)
- Aadhaar card (mobile linked)
- Identity proof - Passport, Voter ID or Driving Licence
- Address proof - bank statement / utility bill (≤ 2 months)
- Recent passport-size photograph
- Email ID & mobile number (for DSC OTP)
For the registered office
- Latest utility bill (electricity / gas / phone, ≤ 2 months)
- NOC from the property owner
- Rent agreement (if rented) or sale deed (if owned)
A residential address in Hyderabad is acceptable as a registered office with a no-objection certificate from the owner. For the MCA filing the office is ROC Hyderabad either way. The address matters later, for which of the three city corporations you deal with and for your Telangana shops registration.
What you'll owe after registration.
Your Year 1 compliance calendar is included, and we file each form on time.
