Company registration in Delhi
Registered under ROC Delhi-I or Delhi-II, whichever your district belongs to.
Since the 2026 reorganisation, Delhi has two Registrar of Companies offices and the one you file with depends on the district of your registered office. Gurugram and Noida are no longer part of this: Haryana has its own ROC at Chandigarh and Noida has its own ROC at Noida. Our Delhi branch is at Arjun Nagar, by Krishan Nagar metro station, so you can hand your documents in.

Which office actually registers your Delhi company
In Delhi the answer depends on the district of your registered office, because the old single ROC Delhi was split in two.
ROC Delhi-I, headquartered in South Delhi, covers South Delhi, South West Delhi, New Delhi, South East Delhi and East Delhi. ROC Delhi-II, headquartered in Central Delhi, covers Central Delhi, West Delhi, North Delhi, North West Delhi, North East Delhi and Shahdara. A Connaught Place address sits in New Delhi district and goes to Delhi-I. A Karol Bagh address sits in Central Delhi and goes to Delhi-II.
Two things changed at once. Notification S.O. 4850(E) of 23 October 2025, under section 396 of the Companies Act, 2013, re-notified ten ROC offices with district-level jurisdictions with effect from 16 February 2026 (deferred from an original 1 January 2026 start).
The second change matters if you were told otherwise: ROC Delhi used to cover the State of Haryana as well as the NCT, and it no longer does. Haryana now has its own ROC at Chandigarh. There is no "ROC Gurugram". Noida is not a Delhi filing either: it now has its own ROC, Uttar Pradesh-II, headquartered at Noida. So if your registered office is in Gurugram or Noida, this is not your page, and any provider still filing your Gurugram company as a Delhi matter is working from a pre-2026 map.
Regional Director work for Delhi goes to the Regional Director (Northern Region I) at New Delhi, a new directorate operational from 16 February 2026, which covers the NCT of Delhi and the State of Uttar Pradesh.
What Delhi costs you, and the cost you do not have
Stamp duty on the incorporation forms is ₹10 on INC-32, ₹200 on the e-MoA, and 0.15% of authorised capital on the e-AoA, capped at ₹25,00,000. Because the e-AoA is a percentage, your total moves with the capital you choose: ₹1,710 of stamp duty at ₹10,00,000 authorised capital, and ₹3,750 on the e-AoA alone at ₹25,00,000. Keep authorised capital close to what you will issue in the next year or two; you can raise it later.
Delhi levies no professional tax at all. There is no PTEC, no PTRC, nothing to enrol for and no return to file. That is a real, recurring saving your counterparts in Mumbai, Bengaluru, Kolkata, Hyderabad and Ahmedabad do not get, and it is worth knowing before you decide where to put the registered office.
Shop and Establishment registration is under the Delhi Shops and Establishments Act, 1954, with the Labour Department of the Government of NCT of Delhi at labour.delhi.gov.in, filed online at labourcis.nic.in. It is a registration, and we confirm the fee with the Department before applying.
A trade licence is not universal in Delhi. The Municipal Corporation of Delhi issues a Health Trade Licence, and only for specified trades, grouped as eating establishments, boarding and lodging, manufacturing, storage and sale, hawking, entertainment and recreation, and miscellaneous. The current fee structure comes from MCD Office Order No. PA/MHO/MCD/2025/D-193 dated 28 March 2025, effective from 1 April 2025 for FY 2025-28, and it builds in a 15% increase in the annual licence fee every three financial years. Applications go through etl.mcdonline.nic.in. We check whether your trade is in scope before quoting anything.
What a Delhi company usually needs next
Most Delhi incorporations take GST registration in the same month; the ₹40 lakh goods and ₹20 lakh services thresholds are irrelevant if you supply goods inter-state. Udyam registration is free on the government portal. If you hire, the four labour codes came into force on 21 November 2025, and factories now sit under the Occupational Safety, Health and Working Conditions Code, 2020 rather than the Factories Act.
