Local note - ROC Pune jurisdiction
Companies across Maharashtra are registered through two ROCs (Mumbai and Pune). The ROC Pune office is at the PCNTDA Green Building, Block A, Akurdi, near Akurdi Railway Station, Pune 411044. Maharashtra is one of only two states (with Tamil Nadu) that have two ROCs.

Professional Tax is mandatory
Every company incorporated in Maharashtra gets mandatory Professional Tax registration, and PT enrolment via AGILE-PRO-S is compulsory for any Maharashtra company that plans to employ staff - a PTEC, plus a PTRC once you have employees, with periodic PT returns even in nil months. We register and calendar these at incorporation.
Stamp duty is state-specific
Under the Maharashtra Stamp Act, the MOA attracts a flat ₹1,000 stamp duty and the AOA is charged at 0.3% of authorised capital, capped at ₹1 crore. Maharashtra is among the higher-stamp-duty states, so getting the authorised-capital figure right at the start avoids over-paying.
Claim the startup rebate
DPIIT-recognised startups can claim a 50% stamp-duty rebate (capped at ₹1,000) under Maharashtra's Startup Week policy, claimed after incorporation through the state Industries Department. Combined with MIDC-linked benefits, this is real money left on the table by providers who don't know the local schemes.

Post-incorporation compliance in the first year
Incorporation is the start, not the finish. In your first year a Pune Private Limited Company must, at minimum:
- File INC-20A (declaration of commencement of business) within 180 days.
- Appoint a statutory auditor within 30 days of incorporation.
- Maintain statutory registers and hold board meetings as required under the Companies Act.
