LLP Registration in Pune
FiLLiP filed with ROC Pune, handled remotely by our CS team
An LLP gives partners limited liability with a partnership's flexibility and two MCA filings a year instead of a company's full calendar. For a Pune LLP, the local layer is the Registrar, the Maharashtra professional tax position and the Pune or Pimpri-Chinchwad municipal position. We have no Pune office: your file is handled from our Kolkata, Delhi or Bengaluru office and documents come to us on WhatsApp or by email.

MCA incorporation
A hybrid of partnership and company.
An LLP is a body corporate under the LLP Act, 2008. Each partner's liability is limited to their agreed contribution, and the LLP agreement sets out how the partners run it. For the full explainer, see LLP registration: the full guide, fees and forms.
- How long
- 10-14 working days, in our usual experience, from complete documents to certificate.
- Indicative cost
- MCA fees of ₹750 on a ₹1,00,000 contribution, plus Maharashtra stamp duty on the LLP agreement, quoted before you buy the stamp paper. Professional fee from ₹1,499.
- Jurisdiction
- ROC Pune, whose jurisdiction the 2026 reorganisation did not change. Filed by our CS team.
Which offices handle a Pune LLP
Your FiLLiP goes to ROC Pune, and that is worth stating precisely because 2026 moved a great deal of Maharashtra's company administration around without touching Pune. The reorganisation created ROC Mumbai-I for Mumbai and Mumbai Suburban and ROC Mumbai-II for Aurangabad, Dhule, Jalgaon, Nandurbar, Nashik, Palghar, Raigad and Thane. Pune is in neither list and ROC Pune was not among the ten offices re-notified, so its jurisdiction is unchanged. If a provider tells you a Pune LLP now files with Mumbai, they have misread the notification.
What did change for Pune is the Regional Director. Since 16 February 2026 all Maharashtra districts except Mumbai and Mumbai Suburban come under the new Regional Director (Western Region-II) at Navi Mumbai, which includes Pune. A Pune entity needing Regional Director approval or confirmation now applies to Navi Mumbai, not to the Mumbai RD. This is the newest Pune fact on the page and almost nothing else on the web has caught up with it.
The Maharashtra cost layer for a Pune LLP
Stamp duty on the LLP agreement. The agreement is stamped under the stamp law of the state of registration and the duty is scaled to the partners' contribution. Maharashtra's rate is not published on this page, because the only schedule we could locate is an undated compilation from 2011 whose Karnataka row is already known to be wrong by a factor of ten. We quote your Maharashtra figure in writing before you buy the stamp paper.
Professional tax, which the LLP pays twice over. Maharashtra levies professional tax under the Maharashtra State Tax on Professions, Trades, Callings and Employments Act, 1975, administered through MahaGST at mahagst.gov.in. There is no Pune rate and no Pune portal: it is the state regime, identical for a Pune LLP and a Mumbai one. Registration carries no fee. Your LLP enrols in its own right under PTEC at ₹2,500 a year for most Schedule I classes. As an employer you hold PTRC and deduct on a salary slab: nil up to ₹7,500 a month, ₹175 from ₹7,501 to ₹10,000, and ₹200 above ₹10,000 with ₹300 in February, which comes to ₹2,500 a year, the constitutional ceiling under Article 276(2). Women are exempt up to ₹25,000 a month, from 1 April 2023.
Two Maharashtra timing points catch new LLPs. The due dates changed from 28 February 2026: monthly PTRC payment and return by the 15th, the annual PTRC return by 15 March, PTEC by 15 June. And ₹50,000 or more of PTRC liability in the previous year means monthly filing, below that annual, and a first-year employer files monthly. Note the contrast with Bengaluru: Karnataka exempts salaries up to ₹25,000 a month while Maharashtra stops at ₹7,500, so far more of a Pune payroll is inside professional tax.
Shop and Establishment: under ten workers there is no certificate. Maharashtra runs the Shops and Establishments (Regulation of Employment and Conditions of Service) Act, 2017, and the headcount decides which route you take. Fewer than ten workers: a one-time free intimation in Form F within 60 days, and no certificate is issued. Ten or more workers: registration in Form A on Aaple Sarkar at aaplesarkar.mahaonline.gov.in, with a fee on a worker-count slab. Most new Pune LLPs are in the first group, which means the "Gumasta certificate" you may have been told to buy does not exist for you. Do not pay anyone for one. We confirm the Form A slab for your headcount rather than publish a figure.
The municipal body, and which one is yours. Premises inside Pune city come under the Pune Municipal Corporation at pmc.gov.in. Premises in Pimpri-Chinchwad come under the Pimpri Chinchwad Municipal Corporation, a separate corporation with its own administration, which matters because a large share of Pune-area businesses actually sit in PCMC. Ordinary shops and offices go the 2017 Act route and the municipal licence is for specified trades. We confirm the licensable-trade position, the fee and the renewal cycle with the right corporation for your premises rather than publish them, because PMC's trade licence pages were not reachable when this page was verified.
What a Pune LLP usually needs alongside registration
Most Pune LLPs need GST registration if turnover will cross ₹40 lakh on goods or ₹20 lakh on services, the Maharashtra PTEC enrolment and, where there are employees, PTRC with a professional tax return each period. The Form F intimation or Form A registration under the 2017 Act is the third item: see Shop and Establishment registration. If you are still choosing between an LLP and a company, our company registration hub sets out the comparison.
How Regikart serves Pune
We do not have an office in Pune. Our offices are Kolkata (head office), Delhi and Bengaluru, and a Pune LLP is handled remotely from one of them. That changes nothing about the filing, because RUN-LLP, FiLLiP and Form 3 are all filed electronically and nobody attends ROC Pune in person. Documents come to us on WhatsApp at +91 70444 94804 or by email to [email protected]. The one physical step is the LLP agreement, signed on Maharashtra stamp paper where your partners are: we draft it, tell you the denomination to buy, and file Form 3 within 30 days of incorporation once it is scanned back to us.
Requirements to register an LLP in Pune.
The conditions to form an LLP are straightforward - all must be met.
Two partners minimum
No upper limit; partners can be individuals or body corporates.
Two designated partners
At least two designated partners are required, and at least one must be resident in India: 120 days during the financial year, under section 7 of the LLP Act as amended in 2021.
DIN (DPIN) and DSC
Every designated partner needs a DIN, also called DPIN for LLPs, and a Class 3 digital signature certificate. DINs for up to five designated partners who do not already have one are applied for inside FiLLiP. A valid DSC a partner already holds can be used; new DSCs are quoted separately.
An LLP Agreement
The agreement setting out contributions, profit-sharing and governance is filed in Form 3 within 30 days of incorporation.
No minimum capital
Partners decide the contribution; there is no mandatory minimum.
Registered office & unique name
A valid local office and a unique name ending with 'LLP'.
Why choose an LLP.
- Limited liability, with the LLP agreement setting how the partners run the business.
- Two MCA filings a year, Form 11 and Form 8, with no AGM or board meetings.
The honest trade-off
An LLP cannot issue equity shares or run an ESOP. If you plan to raise equity, a private limited company fits better, and converting an LLP to a private limited company later is possible. An LLP is taxed at 30% for FY 2025-26, plus a 12% surcharge above ₹1 crore of income and 4% cess, under the Income-tax Act, 1961. Tax Year 2026-27 onwards falls under the Income-tax Act, 2025, in force from 1 April 2026.

An LLP is incorporated through the MCA's FiLLiP form (not SPICe+): obtain DSCs for designated partners, reserve a unique name ending in 'LLP' (RUN-LLP), file FiLLiP (which allots DPIN, and on approval the LLPIN, PAN and TAN), receive the Certificate of Incorporation, then file the LLP Agreement (Form 3) within 30 days. For the full walkthrough, see LLP registration: the full guide, fees and forms.

The LLP's biggest advantage: audit exemption
An LLP needs a CA audit only if turnover exceeds ₹40 lakh or partner contribution exceeds ₹25 lakh; a Pvt Ltd or OPC is audited every year. Thresholds and Form 8 are covered in the full LLP guide.
